Your Right to Use the Site and its Contents

This Site is only for your personal use. You must not distribute, exchange, republish, sell, rent or sub-lease, transmit, reproduce or exploit in any way for a commercial purpose, the material from this site including but not limited to any text, images, audio and video, for any business, commercial or public purpose. Although EDI may from time to time monitor or review bulletin boards, chat rooms, discussions, postings, transmissions and the like on the Site, EDI is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such communications or for any defamation, error, inaccuracy, libel, obscenity or profanity contained in any such communication. EDI may change, edit, or remove any user material or conversations that are illegal, indecent, obscene or offensive, or that violate EDI’s policies in any way, or that EDI, in its absolute discretion, considers to be inappropriate. EDI will fully co-operate with any law enforcement authorities or court order requesting or directing EDI to disclose the identity of anyone posting such materials.

Illegal Use

You may only use the Site for lawful purposes. You must not illegally transmit, distribute or store any material or violate any applicable regulation. EDI takes the issue of data protection very seriously.  EDI’s policy is set out in its Privacy Policy. So that EDI may comply with its obligations under Data Protection legislation, you are required to read and agree to the Privacy Policy before providing EDI with any information about yourself.  It is your responsibility to make sure that information which EDI holds about you is up to date and accurate. Failure to do so will be a breach of these Terms.

This Site may contain links to other Internet sites on the World Wide Web. EDI provides such links for your convenience only, and is not responsible for the content of any site linked to or from this Site. Links from this Site to any other site do not mean that EDI approves of, endorses or recommends that site. EDI disclaims all warranties, express or implied, as to the accuracy, legality, reliability or validity of any content on any other site.

Use of external links is entirely at your own risk.  When visiting external links you must refer to that external website’s terms and conditions of use.

Availability of Products and Services

The products and services displayed on the Site may not be available for purchase in your particular country or locality. EDI’s Right to Change these Terms and Conditions of Use or Content on the Site

EDI may add to, change or remove any part of these Terms or the terms of the Privacy Policy and any other policies at any time, without notice and any such changes shall apply as soon as they are posted on this Site. By continuing to use this Site after any changes are posted, you are indicating your acceptance of those changes. Intellectual Property

Unless otherwise stated, any intellectual property rights arising in respect of this Site’s design, text, graphics, its selection and arrangement, software and all other material (the "Content") on or in this Site belong to EDI and / or its licensors. Any use of such intellectual property rights or software is strictly prohibited except where expressly allowed under these Terms. Unless stated otherwise, permission is hereby granted to electronically copy and store (but not on any server or other storage device connected to a network) and print individual pages of the Content on paper (but not photocopy them) from this Site only for purpose of your private and personal non-commercial use. You may also permit your computer to make an electronically stored, transient copy of the Content for the purpose of viewing it while connected to the Internet only. However you may only make one copy of the Content. Unauthorised Access by Third Parties

EDI will not be liable for any damages or loss arising out of or in connection with such unauthorised access. Third Party Rights

This Agreement is intended and agreed to be for the benefit solely of the parties hereto and their lawful successors and permitted assigns and does not create any right enforceable by any other person.

Entire Agreement

This Agreement, the Privacy Policy and either the Trial Period Agreement or the EDI Learning Assessment System Agreement (subject to the parties entering into them) constitute the entire agreement between the parties.  Neither you nor EDI shall be bound by any express tacit or implied representation, warranty, promise or the like not recorded herein.  Unless otherwise specifically stated, these website Terms supersede and replace all prior commitments, undertakings or representations, whether written or oral, between you and EDI in respect of your use of the website.

General

You may not assign, sub-license or otherwise transfer any of your rights under these Terms. If any provision in these Terms is found to be invalid by the court, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. Failure by EDI to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy. Headings in these Terms are for convenience only and will have no legal meaning or effect.

Termination

If either EDI or you wish to terminate the agreement, this can be done by sending an e-mail (by EDI to your e-mail address and by you to enquiries@ediplc.com) or by sending a letter to EDI at its registered office. Notices will be deemed to have been served one working day after transmission by e-mail and 3 working days after despatch by post. You are responsible for notifying EDI of any change to your e-mail address and where provided to EDI, your postal address.

Any breach of these Terms shall entitle EDI to immediately terminate this Agreement with you without notice. Neither party is obliged to provide to the other any reason for their decision to terminate this Agreement.

Warranties

Whilst EDI endeavours to ensure that the information on this website is correct, EDI does not warrant its completeness or accuracy; nor does EDI commit to ensuring that the website remains available or that the material on the website is kept up to date.

To the maximum extent permitted by applicable law, EDI excludes all representations, warranties and conditions relating to this website and the use of this website (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).

Limitation of Liability

EDI shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), or expense of any nature whatsoever which may be suffered by you or any third party (including companies), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, any personal information or material and information transmitted over our system.  In particular, EDI shall not be liable in any way to you or to any other person or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof.

Applicable Law

The Terms set out in this Agreement are governed by and constructed in accordance with English law and shall be subject to the exclusive jurisdiction of the English courts.
